These terms apply when you engage Mothersoft Technologies ("Mothersoft", "we", "us"), based in Chennai, Tamil Nadu, India, to design, build or maintain a website, online store, web app or mobile app. By accepting a proposal, paying an invoice or asking us to start work, you agree to these terms.
Hosting, domains, email and SSL certificates are provided by Motherhost, our hosting brand, under the Motherhost terms.
1. Proposals and scope
- Every project starts with a written proposal or quote that sets out the scope, deliverables, price, payment milestones and timeline.
- A proposal is valid for 30 days from the date we send it, unless it says otherwise.
- If the proposal and these terms differ, the proposal applies for that project.
- Anything not listed in the proposal is out of scope.
2. What we need from you
- Content (text, images, logos, product data) in a usable form, by the dates agreed in the plan.
- Timely feedback and approvals. Each design stage includes the rounds of changes stated in the proposal.
- Access to the accounts we need, such as hosting, domain, app store or payment gateway accounts.
- Confirmation that you have the rights to all content and material you give us.
If content, feedback or access is delayed, the timeline moves by at least the same amount. If a project is on hold for more than 30 days because we are waiting on you, we may close it and invoice the work done so far.
3. Changes
Changes to approved designs or to the agreed scope are change requests. We tell you the cost and the effect on the timeline in writing before doing the work, and only go ahead once you approve.
4. Payments
Payment terms, including advances, milestones and due dates, are set out in our Payment & Refund Policy and in your proposal. Prices are in Indian rupees and GST is added as applicable unless the proposal says otherwise.
5. How we build: AI-assisted development
We use AI tools, mainly Claude by Anthropic, to help with planning, design drafts, code, tests and documentation. A Mothersoft developer reviews every change before it is delivered and is responsible for it. We do not put passwords, keys or your customers' personal data into AI prompts.
6. Ownership of the work
- When the project is paid in full, you own the final designs, the code written specifically for your project and the content we create for it. We hand over the source code and files on request.
- Until full payment, everything we have produced remains ours, and you may not use it on a live site or app.
- We keep ownership of our own reusable tools, libraries and components, and give you a permanent, royalty-free licence to use them as part of your project.
- Third-party software (for example themes, plugins, fonts, stock images or open-source packages) stays under its own licence. Paid licences are bought in your name or charged to you.
- We may show the finished project in our portfolio and on this website, unless you ask us in writing not to.
7. Testing, launch and support
- We test on current versions of the major browsers and on real Android and iOS devices before handing over.
- After launch we fix bugs in the work we delivered free of charge for the support period stated in the proposal, or 30 days if none is stated. New features and changes after launch are billed separately or covered by a maintenance plan.
- App store approval is decided by Google and Apple. We prepare and submit the app to meet their rules but cannot guarantee approval or timing.
8. Confidentiality
We keep your business information, data and account access confidential and use them only for your project. Access you give us is removed or handed back when the project or maintenance plan ends.
9. Limitation of liability
We are not liable for indirect or consequential losses, such as lost profits or lost data, or for problems caused by third-party services, hosting outside our control, or changes made by others after hand-over. Our total liability for any project is limited to the amount you paid us for that project.
10. Ending a project
Either side may end a project by giving written notice. You pay for work completed up to that date, as set out in the Payment & Refund Policy, and we hand over the completed work once it is paid for.
11. Governing law
These terms are governed by the laws of India. Any dispute that we cannot settle by discussion is subject to the jurisdiction of the courts in Chennai, Tamil Nadu.
12. Changes to these terms
We may update these terms. The version in force when you accept a proposal applies to that project. The date at the top of this page shows the latest update.
